Welcome to Vincerax. These Terms & Conditions (“Terms”) govern your access to and use of the Vincerax website, applications, and services (the “Platform”). By accessing or using Vincerax, you agree to these Terms. If you do not agree, you must not use the Platform.

1. About Vincerax

Vincerax is a digital platform that enables users to connect, communicate, share content, build communities, and participate in features such as groups, events, blogs, forums, marketplace listings, jobs, courses, funding initiatives, and pages.

2. Eligibility

You must be at least 13 years of age to use Vincerax. If you are under 18, you confirm that you have permission from a parent or legal guardian. By using the Platform, you represent that you meet these requirements.

3. User Accounts

• You are responsible for maintaining the confidentiality of your login details.

• You agree to provide accurate, current, and complete information.

• You are responsible for all activity conducted through your account.

• Vincerax may suspend or terminate accounts that breach these Terms or applicable laws.

4. User Content

You retain ownership of content you submit, post, or display on Vincerax. By posting content, you grant Vincerax a non-exclusive, worldwide, royalty-free, transferable licence to host, use, reproduce, modify, display, and distribute your content for operating, improving, and promoting the Platform.

You must not post content that:

• Is unlawful, misleading, defamatory, or deceptive

• Infringes intellectual property or privacy rights

• Is abusive, hateful, harassing, or discriminatory

• Contains spam, malware, or harmful code

Vincerax reserves the right to remove content that violates these Terms.

5. Community Standards

Vincerax is built on respect, collaboration, and integrity. Users must:

• Treat others with respect

• Avoid harassment, hate speech, and discrimination

• Comply with all applicable Australian laws

Violations may result in content removal, account suspension, or termination.

6. Marketplace, Jobs, Funding & User Transactions

Vincerax may provide tools that allow users to interact, transact, or collaborate. Vincerax:

• Is not a party to transactions between users

• Does not guarantee listings, payments, delivery, or outcomes

• Is not responsible for disputes between users

Users are solely responsible for complying with applicable consumer, tax, and employment laws.

7. Intellectual Property

All platform software, branding, logos, designs, and content (excluding user content) are owned by or licensed to Vincerax and protected by Australian and international intellectual property laws.

You must not copy, modify, distribute, or exploit any part of the Platform without written permission.

8. Privacy

Your use of Vincerax is governed by our Privacy Policy, which complies with the Privacy Act 1988 (Cth).

9. Australian Consumer Law

Nothing in these Terms excludes, restricts, or modifies any consumer guarantees, rights, or remedies under the Australian Consumer Law that cannot be excluded by law.

10. Suspension & Termination

Vincerax may suspend or terminate your access if you breach these Terms, misuse the Platform, or engage in unlawful conduct. You may stop using Vincerax at any time.

11. Disclaimer

To the extent permitted by law, Vincerax is provided “as is” and “as available.” We do not guarantee uninterrupted access, accuracy of user content, or specific results.

12. Limitation of Liability

To the extent permitted by law, Vincerax is not liable for indirect, incidental, or consequential loss arising from use of the Platform. Liability is limited as required under Australian Consumer Law.

13. Changes to These Terms

We may update these Terms from time to time. Continued use of Vincerax constitutes acceptance of the updated Terms.

14. Governing Law & Jurisdiction

These Terms are governed by the laws of Australia, and you submit to the non-exclusive jurisdiction of Australian courts.
